Bina Darulaman Berhad announced that on 25 June 2025, BDB has signed a Joint Venture cum Shareholders Agreement (“JVSA”) with Energise Sdn Bhd (“Energise”) in furtherance to a Term Sheet dated 7 January 2025 where both BDB and Energise has agreed in principle to establish a joint venture (“JV”) to operate and manage a green energy business including but not limited to the manufacture of organic biomass pellets, the production and sale of bioenergy products and the cultivation of agricultural products to supply the raw material required for organic biomass (“Business”). Purpose of JVSA: BDB and Energise hereby enter into this JVSA to regulate their relationship in the Business and as Shareholders of a joint venture company (“JVCo”), to govern the management of the JVCo and to set out the obligations, rights and/or liabilities of each Party for the setting up and operation of the Business as a JV. The Parties further agree that the JVCo shall be BDB ENERGISE SDN BHD [Company No.
202401034910 (15807A57-V)] a company incorporated under the laws of Malaysia and having its registered address at Aras 9, Menara BDB, 88 Lebuhraya Darul Aman, 05100 Alor Setar, Kedah (“BDBE”). This JVSA shall continue in full force and effect from the date of its execution until any of the following shall occur: – The dissolution or otherwise cessation of the JVCo to exist as a separate entity, whether pursuant to this JVSA or otherwise. This JVSA is terminated by mutual consent of the Parties; This JVSA is terminated pursuant to its terms; or One Party acquires all the shares of the other Party pursuant to Clause 15.2.1 of the JVSA.
This JV between BDB and Energise are: to provide an opportunity for BDB to venture into the green hydrogen economy with ENERGISE being a leading player in the bioenergy and green hydrogen sector to better position our BDB Group to reach out to a broader range of customers. to contribute positively to the BDB’s future earnings and strengthen its financial position moving forward.
